These Affiliate Program Terms (“Affiliate Terms”) govern participation in the Resurve affiliate / referral program. They supplement the platform Terms of Service, Acceptable Use Policy, and Privacy Policy. If you are also a business customer, your business Account remains under the business Terms.
Everyday language summaries are for convenience only and are not legally binding.
1. Program overview
Which means: You refer businesses to Resurve. If they become paying (or otherwise qualifying) customers under program rules, you may earn commission.
- Resurve operates an affiliate program for referring businesses (SMEs/operators) to Resurve — not a generic consumer coupon program unless we expressly launch one.
- Qualifying events, commission rates, cookies/attribution windows, and payout schedules are defined in the affiliate portal or a schedule we publish (“Program Schedule”). The Program Schedule may change with notice as described below.
- “Affiliate” means the individual or entity accepted into the program. “Referred Business” means a business attributed to you under our attribution rules.
2. Enrolment
Which means: Apply, get approved, keep accurate details.
- You must register at
affiliate.resurve.net, provide accurate identity and tax/payout information, and be the age of majority. - We may approve, reject, or remove Affiliates at our discretion where permitted by law.
- You must not create affiliate accounts by automated means or for the primary purpose of self-referral abuse.
3. Attribution
Which means: We decide how referrals are tracked — follow the portal rules.
- Attribution may use referral links, codes, cookies, or account flags. Last-click / first-click / hybrid rules are as stated in the Program Schedule.
- Self-referrals, duplicate businesses, and artificially created Accounts do not qualify.
- Marketplace vs
business_linkcustomer provenance on the customer side is separate from affiliate attribution for business signup; do not conflate them in your marketing claims.
4. Commission and payouts
Which means: Commissions only on qualifying referred businesses; we can reverse fraud.
- Commissions are earned only on Qualifying Referrals as defined in the Program Schedule (for example first paid subscription, completed onboarding milestone, or other trigger).
- Payouts require a valid payout method and any tax forms we request. Minimum payout thresholds may apply.
- We may withhold or reverse commissions for refunds, chargebacks, fraud, AUP violations, or attributed Accounts that cancel within a clawback window.
- Unless stated otherwise, commissions are exclusive of taxes you owe on your income.
5. Permitted promotion
Which means: Be honest. Disclose the affiliate relationship. Don’t pretend to be Resurve.
You may promote Resurve using approved brand assets and truthful statements about the product (handle/subdomain checkout, vertical OS, automation). You must:
- Disclose material connections where required by advertising law.
- Use links/codes we provide.
- Avoid bidding on Resurve trademarks in paid search in ways the Program Schedule forbids.
- Avoid spam, fake social proof, malware, or misleading “official Resurve” pages.
- Not imply employment by Resurve or authority to bind Resurve.
6. Prohibited conduct
Which means: No fraud, cookie stuffing, or brand abuse.
In addition to the AUP, you must not:
- Use cookie stuffing, forced clicks, or iframe tricks.
- Misrepresent pricing, payout delays, or payment settlement claims (never promise “instant bank settlement” unless we expressly authorise that claim).
- Target Referred Businesses with unlawful or harassing outreach.
- Share confidential Program Schedule terms that we mark confidential.
7. Independent contractor
Which means: You are not a Resurve employee or “partner” in the agency sense.
Affiliates are independent contractors. “Partner” is reserved in Resurve terminology for possible future agency/technology partnerships — not this referral role. Nothing creates a partnership, joint venture, or employment relationship.
8. Intellectual property
Which means: Limited licence to promote; we keep our marks.
We grant a limited, revocable, non-transferable licence to use approved Resurve marks solely for program promotion. All goodwill accrues to Resurve. On termination, stop using the marks except as needed to describe historical factual relationships where legally allowed.
9. Data protection
Which means: Handle lead data lawfully.
If you collect personal data for outreach, you are responsible for lawful collection and your own notices. Share only what the program requires. See the Privacy Policy for how Resurve processes Affiliate and Referred Business data.
10. Term and termination
Which means: Either side can end participation; unpaid valid commissions may still be paid per Schedule.
- You may stop at any time via the portal or by notice to [CONTACT EMAIL].
- We may suspend or terminate for any reason permitted by law, immediately for AUP/fraud breaches.
- On termination, outstanding valid commissions follow the Program Schedule; future accrual stops.
11. Liability
Which means: Program is as available; liability limited as in the platform Terms.
To the extent permitted by law, Resurve’s liability under these Affiliate Terms is limited as in Section 7 of the Terms of Service. The program may be changed or discontinued.
12. Changes
We may modify these Affiliate Terms or the Program Schedule with notice via the portal or email. Continued participation after the effective date constitutes acceptance. If you disagree, stop participating.
13. Governing law
These Affiliate Terms follow the contracting party, governing law, and dispute forum in the platform Terms (provisional: [GOVERNING LAW — provisional: laws of Mauritius]; [COMPANY LEGAL NAME]).
